Corporate/Commercial Legal Counsel - Innovative Tech Company, London


We are working with an exciting and innovative Technology business seeking a Corporate/ Commercial lawyer to join their dynamic legal team. This is a high-impact role advising on general commercial matters, corporate governance, and M&A transactions as they arise. This position offers substantial exposure to senior leadership and the chance to help shape the legal framework of a dynamic, growth-focused organisation.


Key Responsibilities:

  • Legal advisor on M&A activity, supporting the senior executive team on both pre- and post-completion integration matters.
  • Draft, review, and negotiate a wide variety of commercial agreements, including but not limited to partnership agreements, supplier and vendor contracts, licensing agreements, and customer terms and conditions.
  • Advise on corporate documentation such as Share Purchase Agreements (SPAs) and Shareholders’ Agreements (SHAs).
  • Identify and manage legal risk, offering strategic advice to ensure business operations remain compliant with applicable laws and regulatory standards.
  • Collaborate with cross-functional teams including product development, marketing, and HR to provide legal guidance and support on operational and strategic initiatives.


About You:

  • A minimum of 3 years PQE ideally gained in a top-tier UK/US law firm or in-house, and the right to practice in England & Wales - other PQE levels will also be considered.
  • Proven expertise in contract negotiation and drafting, with excellent analytical and communication skills.
  • A proactive, detail-oriented individual who thrives in a fast-paced, evolving environment.
  • Strong problem-solving skills and a collaborative approach to working with diverse teams and stakeholders.
  • Demonstrates emotional intelligence, professionalism, and a strong team ethic.
  • Excels in dynamic, high-pressure environments where priorities frequently shift.

This role is based in Central London, working 3-days a week in Office.
