The Opportunity

Our client is seeking a new Legal Counsel to join its growing in-house legal function. This position offers broad transactional exposure, direct engagement with senior leadership, and the chance to play a strategic role in complex financing and commercial matters.

Key Responsibilities

• Draft, review, and negotiate a range of financing, security, and commercial agreements.
• Advise internal stakeholders on deal structuring, risk mitigation, and regulatory considerations.
• Support transaction execution, including coordination with external counsel and internal deal teams.
• Manage and maintain precedent documentation to align with best market practices.
• Provide legal input across corporate, commercial, and operational matters as needed.
• Participate in multi-party negotiations involving lenders, investors, and service providers.
• Ensure robust risk management and compliance across all transactions and internal processes.
• Mentor junior team members and contribute to the professional development of the wider legal function.
• Assist with regulatory training, corporate governance, and ad hoc legal projects.

Key Requirements

• Qualified Solicitor (England & Wales).
• Minimum 3–10 years PQE, with recent experience in banking, structured finance, real estate finance, or corporate lending (either in-house or private practice).
• Proven ability to draft and negotiate complex financial or commercial documentation.
• Strong commercial judgment and ability to balance legal precision with business needs.
• Exceptional communication, collaboration, and stakeholder management skills.
• Pragmatic, detail-oriented, and solutions-driven mindset.
• Comfortable working in a fast-paced, entrepreneurial, and collaborative environment.
