We are seeking a highly motivated and detail-oriented Corporate Solicitor to provide expert legal advice on property-related matters within corporate transactions. This includes handling property aspects of mergers, acquisitions, disposals and restructuring projects. The role requires strong technical knowledge of property law combined with an understanding of corporate and commercial transactions. Duties
Advise on and manage M&A transactions, including asset and share sales/purchases. Draft, review, and negotiate key documents such as SPAs, APAs, NDAs, heads of terms, and disclosure letters. Respond promptly to client communications and conduct all communications with solicitors instructed by other parties and with all other parties relating to the matter. Manage corporate reorganisations, demergers, and restructures. Respond to all written telephone communications promptly. Assist with investment rounds, shareholder agreements, articles of association, and corporate structuring. Ensure that all client files, trial bundles and other documents are well organised, displayed and comply with all internal and external procedures and requirements.
Skills
Strong communication skills, with the ability to clearly articulate complex legal concepts to non-specialists. Proficiency in IT systems relevant to legal practice, including document management software and research tools. Excellent organisational skills with attention to detail in drafting and reviewing legal documents. Ability to work effectively both independently and as part of a team. Sound understanding of commercial law principles and legislation relevant to the organisation's operations. Proven ability to manage multiple tasks efficiently under tight deadlines. Draft all necessary documentation required to progress the client’s case and proofread documents to achieve 100% accuracy wherever possible.
