Corporate Legal Counsel (in-house)

£120K-£140K + bonus

London - hybrid working

Seeking an experienced corporate lawyer to support M&A plan, equity arrangements, and other corporate projects.

• Supporting Group acquisition activity including:
• Assisting Corporate Development team with early stage activities eg NDAs, exclusivity arrangements, heads of terms and high level due diligence
• Managing all legal aspects of acquisition process, including:
• Liaising with external counsel
• Co-ordinating legal due diligence and acting as the legal liaison for inter-connects with other functions, such as Finance, HR, Risk and IT
• Supporting transaction negotiations and completion of
• Leading legal aspects of post-acquisition integration
• Advising on post-acquisition aspects eg earn-out, management incentive schemes, etc and adjustments to them

• Oversight of management equity schemes which consists of a mixture of strip and incentive equity, which are widely distributed amongst management. This includes legal oversight of:
• New issues of strip and incentive equity
• Buy back arrangements for leavers
• Valuations
• Providing guidance and advice to Share Plan Manager

• Advising in respect of other corporate activities:
• Reorganisations
• Incorporation of new entities/branches
• Winding-up of entities
• Name changes and rebranding

• Assisting Head of Legal on other ad hoc projects, eg:
• Dispute resolution
• Investigations and regulatory enquiries

Requirements

• Qualified solicitor with at least 3 years PQE
• Extensive experience of acquisitions and other corporate transactions
• Preferable – experience of private equity/private equity share structures
• Preferable – experience of multi-national transactions
• Comfortable working in a fast paced environment and excellent communication skills with senior stakeholders.
