Job Title: Head of Legal (HOL)

Reporting to: CEO & Founder


Position Overview:

The Head of Legal will serve as the leader responsible for overseeing all legal, regulatory, and governance matters for the organisation. Reporting directly to the CEO and working closely with the board of directors, the Head of Legal will provide strategic legal counsel to the company’s leadership and ensure compliance across all jurisdictions where the company operates. This role is critical in managing risk, supporting business growth, and maintaining the company’s reputation as an ethical and compliant organisation.


Key Responsibilities

Strategic Legal Guidance:

• Advise the CEO, executive team, and board of directors on legal strategies, regulatory requirements, and potential risks.

• Provide counsel on business strategies, mergers and acquisitions, contracts, and other high-stakes matters.


Regulatory Compliance:

• Ensure compliance with all applicable local and international laws and regulations.

• Stay updated on changes in legal and regulatory landscapes affecting the business, including those in countries of operation (UK, Ireland, France, Germany, Switzerland, Canada, Australia, New Zealand, UAE, and India).

• Manage relationships with regulatory bodies and government agencies.


Corporate Governance:

• Oversee governance policies and procedures, ensuring alignment with best practices and shareholder interests.

• Manage board-related legal matters, including shareholder agreements, resolutions, and documentation.


Risk Management:

• Identify potential legal risks and develop strategies to mitigate them.

• Ensure robust processes for handling disputes, litigation, and arbitration.


Contract Management:

• Review, draft, and negotiate key contracts, including vendor agreements, customer contracts, and strategic partnerships.

• Standardise contract processes and ensure alignment with business objectives.


Leadership and Team Development:

• Lead and develop the legal team, fostering a high-performance and collaborative environment.

• Ensure the team has the tools and resources to support global operations effectively.


Policy Development:

• Establish and maintain internal policies to ensure ethical practices and legal compliance.

• Oversee training programs to educate employees on legal and compliance matters.


Litigation and Dispute Resolution:

• Manage and oversee litigation, arbitration, and mediation proceedings.

• Collaborate with external legal counsel when necessary.


Key Qualifications:


Educational Background:

• Law degree (JD or equivalent) from a reputable institution.

• Licensed to practise law in at least one jurisdiction relevant to the company’s operations.


Experience:

• Minimum of 12 years of legal experience, with at least 5 years in a senior leadership role.

• Experience in a global organisation, preferably in retail, luxury goods, or a highly regulated industry.

• Proven track record in corporate governance, compliance, and risk management.


Skills:

• Strategic thinker with the ability to balance business goals and legal risk.

• Expertise in international law, contracts, and regulatory compliance.
