Job Title: Commercial Contracts Lawyer

This is a 12-month fixed-term contract for a Solicitor to undertake a project to review the suite of third-party vendor agreements across the group on a risk-weighted basis, and to update in accordance with regulatory obligations, under DORA and GDPR.


Key Responsibilities & Accountabilities


  • Review, assess and update third-party vendor agreements for the group, prioritising on a risk-weighted basis, to ensure compliance with regulatory obligations, particularly DORA and GDPR.
  • Provide legal advice and guidance on the interpretation and amendment of vendor agreements, ensuring alignment with applicable laws and regulations.
  • Liaise with the third-party risk management team to identify key risk areas and ensure contractual documentation meets business and regulatory requirements.
  • Draft, negotiate and arrange execution of updated agreements, amendments and ancillary documentation as required.
  • Review and update relevant intergroup agreements.
  • Support the legal team with additional legal work as required, which may include general commercial, regulatory or corporate matters.
  • Escalate complex or high‑risk legal issues as appropriate.
  • Maintain accurate records of contract reviews, amendments and advice provided.



Skills and Experience


  • UK-qualified solicitor or similar qualification.
  • At least 4 years of relevant post-qualified experience.
  • Demonstrable experience in reviewing, drafting and negotiating commercial contracts
  • Exposure to third-party vendor agreements in a regulated environment would be beneficial.
  • Strong knowledge of regulatory requirements relevant to financial services and or commodities trading.
  • Experience with DORA is advantageous.
  • Ability to provide clear, practical legal advice to business stakeholders.
  • Excellent attention to detail, organisational skills and ability to manage competing priorities and deadlines.
  • Pragmatic, commercial, reliable, self-driven and motivated.
  • Strong communication and stakeholder management skills; personable and able to build effective working relationships.
  • Understanding of commodity markets, AI services, business data providers, exchange services, cloud technologies, API services, SaaS and consultancy delivery models would be beneficial.
  • Familiarity with international data transfer requirements across the US, UK, and EU.
  • Ability to challenge standard technology service agreements (including SaaS) and draft or negotiate amendments.
  • Experience in creating and maintaining a contract knowledge base to support monitoring, break clauses, renewals and negotiations.
