The Role

Reporting to a Senior Manager within the LSEG Company Secretariat team based in London, this role will contribute to the team's mandate to ensure that the implementation of corporate governance requirements are met and that appropriate legal and statutory compliance is maintained for the Group. This will include the provision of Governance and Administrative support to the listed company, Group subsidiaries and colleagues within the Company Secretariat team. This position would be ideal for a committed and dedicated individual who is looking to challenge themselves within a driven and friendly team environment

Key Responsibilities

  • Assist in ensuring compliance with the Companies Act 2006, UK Listing Rules, Disclosure & Transparency Rules, the UK Corporate Governance Code and Market Abuse Regime.
  • Assist with the preparation and release of Stock Exchange announcements.
  • Assist with ad-hoc governance projects in order to support the delivery of the LSEG Company Secretariat team objectives.
  • Build and maintain up-to-date corporate governance knowledge, including conducting research on peer companies.
  • Manage the corporate governance horizon scanning monthly process.
  • Operate the monthly process to maintain the list of Restricted Persons. Supporting the delivery of the LSEG plc Annual Report and additional year end activities such as Directors' Year End Packs, Related Party Transactions, etc
  • Assist with the delivery of the LSEG plc Annual General Meeting including the Notice of Meeting, proxy forms, ancillary documents and meeting management, etc.
  • Assist with the administration of share registration activities. Maintain department process and procedure notes, including creating any new process notes and reviewing existing ones on a regular basis.
  • Supporting colleagues from time to time with a portfolio of the Group's subsidiaries, including providing board support, drafting minutes of meetings and managing updates on outstanding actions from the meetings.
  • Supporting the Managers and Group Directors within the Company Secretariat as and when required.
Experience and Skills
  • Educated to degree level or equivalent, and part qualified /studying towards the Chartered Governance Qualifying Programme qualification.
  • Prior experience of working in a UK listed company secretariat with at least 18 months' experience.
  • Good working knowledge of the Companies Act 2006, UK Listing Rules, Disclosure & Transparency Rules, the UK Corporate Governance Code and Market Abuse Regime.
  • Friendly, with the ability to work collaboratively within a team.
  • A 'can do' attitude.
  • Strong attention to detail and communication skills, both written and verbal.
  • Strong level of IT literacy.
  • Previous experience using Diligent and GEMS is desirable, but not essential.
