Department Overview:
The Capital Dynamics Finance team manage all elements of operational finance, reporting and regulatory reporting obligations. Further, the team provides oversight, controls, and protection to safeguard the firm’s interests and budgets while upholding the financial integrity of the business. The team also collaborates with the business and stakeholders to drive value creation and efficiencies within the wider organization, either directly or by enabling improved performance to support the firm’s continued growth.
Role Purpose:
Capital Dynamics is seeking a senior professional to join our Finance team as Director, Carried Interest & Co-Investments.
This individual will assume full responsibility for managing the firm’s carried interest and co-investment operations and will play a key leadership role in streamlining our fund administration processes.
The successful candidate will work closely with internal stakeholders and third-party administrators, ensuring excellence in the delivery of all carried interest and co-investment-related functions.
The ideal candidate will have extensive experience in carried interest and/or co-investment administration, with deep knowledge of US tax reporting (including K-1, 1065, K-2, and K-3), ideally gained within a fund-of-funds environment. Strong general fund accounting expertise and a solid understanding of private equity structures are essential.
Key Responsibilities
- Lead the transition and integration of carried interest and co-investment data and processes between legacy and new third-party administrators.
- Develop and implement internal processes to bring the administration of carried interest and co-investment programs in-house.
- Manage the preparation and review of GP / carried interest calculations and reporting across all Capital Dynamics funds, in collaboration with Fund Operations and third-party administrators.
- Partner with the Legal team to review limited partnership agreements (LPAs), identifying and defining relevant fund-chargeable services related to carry and co-investment programs.
- Establish and enforce operational best practices and internal controls for all carried interest and co-investment activities.
- Support the monitoring, compliance, and enhancement of LPA terms for existing and new fund vehicles.
- Liaise with tax consultants to ensure full compliance with all legal, tax, and regulatory obligations associated with carried interest and co-investment structures.
- Work closely with corporate and fund administrators, auditors, and tax advisors to: Prepare Capital Dynamics and fund financial statements, address annual audit queries and respond to tax-related queries.
- Oversee and approve all reporting to carried interest and co-investment scheme participants, including: Capital calls and distributions, carried interest distributions and tax allocations, loan and carry statements and annual tax documents.
Key Competencies
- Proven experience in fund administration, accounting, and private equity or asset management finance.
- Expertise in carried interest accounting and calculations is essential.
- Strong understanding of US federal tax processes, including preparation and review of K-1, 1065, K-2, and K-3 filings.
- In-depth knowledge of fund legal documentation (LPAs) and oversight models.
- Familiarity with private equity partnership structures, private securities, and fund legal preferences is highly advantageous.
- Ability to communicate complex financial concepts clearly, both verbally and in writing.
- Strong data management and analytical skills with the ability to efficiently handle large datasets.
Education & Qualifications
- Qualified accountant (ACA, ACCA, CIMA, or equivalent).
- Extensive knowledge of accounting standards, including IFRS, US GAAP, and UK GAAP.
- Min 10 – 12 years of relevant experience, with at least 4 years in a private equity, venture capital, or asset management environment.
