The Commercial Manager is responsible for leading and overseeing the commercial contracts function within the organization. This leadership role ensures the strategic and efficient management of commercial agreements, driving legal compliance, risk mitigation, and maximizing the organization's business objectives through well-negotiated contracts. The role involves collaborating with various functions across the global business including sales, procurement, finance, and legal, to streamline contract processes and enhance contractual terms that support the Companys goals. The Commercial Manager protects the Groups legal and commercial position on bids, contracts and other matters, while facilitating the successful delivery of live programmes. The Head of Commercial also provides general contractual, commercial and compliance advice to the Pennant business.
Key Responsibilities And Duties
- Review and negotiate contractual terms with customers and suppliers, working with all regions and all parts of the business (Technical Training (including Track Access) and Integrated Product Support) to understand and protect the Groups business
- Act as Commercial lead and assist in the preparation of bids for new contracts, including co-ordination of costing/pricing information with the relevant bid manager, and controlling/preparing the formal release of bids with accompanying documentation.
- Identify and assess legal, financial and operational risks within commercial contracts and proactively manage and resolve issues that arise during the course of the contracts to prevent disputes and protect the Companys interests.
- Performs contract lifecycle management on live programmes (including milestone monitoring and invoicing), including production of weekly invoice forecast to ensure timely delivery and full compliance with contractual obligations.
- Lead and mentor any junior staff within the Commercial function.
- Customer relationship management, including liaising with customers on live programmes, handling commercial points and other matters working in conjunction with the relevant Project Manager.
- Collaborate with all internal stakeholders to ensure alignment of commercial contracts with business goals and advise leadership on contract terms, potential risks and strategic opportunities.
- Proactively identify, assess and resolve issues arising on ongoing contracts and negotiate contract amendments, identifying out of scope work and areas where the Groups commercial position needs to be protected and optimised.
- Analyse existing contracts and provide recommendations for process improvements and renegotiations to enhance commercial terms and drive business growth.
- Ensure that all commercial contracts comply with relevant laws, regulations, and industry standards. Stay updated on changes to legislation and best practices to proactively manage compliance risks.
- Develop systems for monitoring the performance of commercial contracts, ensuring that contractual obligations are met, and resolving any disputes or breaches.
- Arrange transportation and shipping of finished goods in conjunction with Operations team.
- Ensure compliance with all UK export control legislation and identify and manage export and import control compliance risk for other jurisdictions (e.g. US ITAR regime).
- Implement non-disclosure agreements with customers, suppliers and other counterparties.
- Prepare regular reports for management on the status of commercial contracts and opportunities.
- Discharge other responsibilities held by the Commercial department (including anti-bribery and corruption and the legal aspects of CE compliance).
- Other duties relevant to the Commercial department, as assigned from time to time.
- Maintain Commercials template document suite and other materials hosted on the Commercial SharePoint site (or elsewhere), ensuring regular reviews for currency/improvement.
- Prepare monthly reports for the C&RD regarding activities during the period.
- Act as Procurement Lead for high-value/high-importance purchases by Group functions such as HR and IT.
- Administer the Groups employee Share Incentive Plan.
- Substantial experience in a procurement or contract management role.
- Experience in the aerospace, defence and/or rail sectors desirable.
- Qualifications relevant to contractual matters (e.g. MCIPS) and/or bachelors degree in law, business administration or related field.
- A current UK driving licence.
- The ability to obtain SC status.
